FIELD OF EXPERTISE: Business Law
The department deals with company-specific issues of corporate governance, e.g. the principles of proper corporate governance. The Corporate Governance system describes the legal and factual regulatory framework for the management and supervision of companies. The regulatory framework is largely determined by the European and national legislators and the shareholders. All in all, it consists of all the relevant laws, regulations, directives, codes, declarations of intent, the corporate mission statement and the custom of corporate management and supervision. The concrete design is the responsibility of the supervisory body and the executive board. From a corporate governance perspective, overlaps with external accounting, auditing, corporate law and tax law are resulting. All of these lead to complex corporate law issues, which the department treats through close cooperation with European institutions and organizations in the field of knowledge transfer.
